General Terms and Conditions

By engaging with Atumatic Studios S.L., everyone involved agrees to the following terms and conditions.  Project-specific T&Cs and estimates must be signed and returned to confirm the project.

1. Introduction
  • Atumatic Studios S.L. provides professional production services and becomes a seamless part of our clients project pipeline.
  • By engaging with us, clients agree to the following terms and conditions.
  • When a project is initiated, a more detailed list of rules and schedules — including working hours, location-specific regulations, and other requirements — will be provided.

2. Scope of Services
  • Services encompass the project from engagement to the finalisation of actuals and the settlement of the final invoice.
  • Services after wrap, such as, but not limited to, extending of rights will be considered additional services and will be invoiced for additionally.
  • All production activities in Spain are conducted in accordance with Spanish law.
  • Project-specific deliverables, schedules, and fees are detailed in written estimates or production agreements.
  • Additional work or modifications requested after approval may incur additional fees or revised timelines.

3.a Health & Safety
  • Atumatic Studios S.L. prioritises safety above all else, therefore it is mandatory to follow all advice from the production team, 1st AD, locations manager, and/or paramedic.
  • All participants must be of sound body and mind. Anyone deemed unfit to safely engage in production activities may be removed from set.
  • The use of alcohol, recreational drugs, or any substances that impair judgment or coordination is strictly prohibited on set.
  • Any prescription or over-the-counter medication that may affect alertness, coordination, judgment, or overall safety must be disclosed to the production team without the need to reveal the underlying medical condition.  This information is requested solely for risk-management purposes, allowing the team to assess whether participation in safety-sensitive tasks is appropriate.  Failure to disclose such medication may result in Atumatic Studios S.L. not being held liable for any incidents arising from impairment related to undisclosed medication.
  • Risk assessments are mandatory for every location and each shooting day, and will be distributed in advance. All clients, talent, crew, and suppliers must sign to confirm that they have read and understood the risk assessment for that specific location and day before engaging in any activity.  Anyone with questions or concerns must speak with the production team prior to signing.  If any required signatures are missing, work cannot and will not commence.
  • Operation of equipment, vehicles, and machinery is restricted to appropriately qualified and designated crew members.

3.b Working Hours and Overtime
  • The standard working day for most crew is 11+1 hours, either from calletime or from hotel to hotel depending on location. The maximum working time is limited to 11+1 hours per day and / or 50 hours per week, with a compulsory minimum rest period of 12 hours between wrap and the next call time.
  • Call times and call locations may vary between crew members depending on their department or duties.  Generally, each crew member’s working day begins at their individually assigned call time and call location.  Any alternative arrangements will be communicated clearly during pre-production.
  • Overtime can and may occur but local crew are bound by Spanish labour laws on maximum hours and rest periods.
  • Overtime will be communicated in a timely manner and the resulting costs will be invoiced afterwards.
  • Production schedules respect these regulations; Atumatic Studios S.L. cannot exceed legal limits or compromise crew welfare.

4. Insurance
  • Atumatic Studios S.L. maintains professional insurance covering the standard operations of our productions. Our coverage includes:
    • Civil liability: Up to €1.500.000 per occurrence, protecting against third-party claims arising from our operations worldwide (except the U.S.A., Canada, Australia and New Zealand).
    • Employer's Liability: Up to €600.000 per victim, for crew contracted in Spain.
    • Cross Liability: €600.000 per victim, covering claims between different insured parties on the same production.
    • Entrusted locations: Up to €1.000.000 for real estate and €300.000 for other property used during the production.
    • Professional Liability: Up to €300.000 for errors or omissions arising from our professional services.
    • Motor Liability: As required by Spanish law for vehicles used in production.
    • Worker's Compensation: As required by Spanish law for hires contracted under the Spanish labor system.
  • If the production requires a more specific insurance for whatever reason, these costs will be added to the budget and are invoiced for to the client. 
  • Atumatic Studios S.L. hires only crew and suppliers who are fully registered with the Spanish social security system and have all required payments and legal obligations in order.
  • As Atumatic Studios S.L. is hired to become a production partner in our clients production pipeline, our clients will remain ultimately responsible for the entire production. Therefore Atumatic Studios S.L. must be included in our clients insurance documents, mentioned as "Additionally Insured" and "Loss Payee".  A copy of this must be received by us prior to the first day of the shoot. Failure to do so may result in delays or cancellations.
  • Equipment, vehicles, and personal belongings are not covered under Atumatic Studios S.L. insurance and remain the responsibility of their owners.

5. Permits & Locations
  • We collaborate with a large network of location managers across Spain and its islands, and we make every effort to secure the necessary permits for each location we plan to shoot.  Please note that some locations may require multiple permits from different authorities.  Due to factors such as availability, specific requirements, or the nature of the location, we cannot guarantee that all permits will be granted.  In the event of a refusal, Atumatic Studios S.L. cannot be held liable.
  • Filming shall not commence at any location—whether planned, last-minute, or alternative—without the required permits. Furthermore, where a location requires blockers, Policia Nacional, or Guardia Civil, filming shall not proceed until the necessary personnel are present and in place.

6. Equipment and Logistical Responsibilities
  • All equipment must be transported, handled, and stored legally and securely.
  • Where necessary, Atumatic Studios S.L. will provide licensed security guards to safeguard all vehicles, equipment, and other valuables related to the production.

7. Client's Responsibilities and On-Set Conduct
       Clients agree to:
  • Provide accurate, timely information, materials, approvals and payments.
  • Be responsible for all equipment, materials, or products brought by the client; Atumatic Studios S.L. will not liable.
  • Ensure client, talent and other visiting crew follow safety and conduct guidelines.
  • Collaborate to minimise environmental impact and follow sustainable practices.
  • Respect all guidance from the local production team.
      Atumatic Studios S.L. reserves the right to halt or cancel the project if:
  • The client, or anyone accompanying them—including talent they supply—behaves in a manner deemed inappropriate, unsafe, or unprofessional.
  • The project itself is deemed inappropriate, illegal, or unsafe in nature.
  • Payments and/or required insurance documents, naming Atumatic Studios S.L. as "additionally insured" and "loss payee", have not been provided in as agreed.
       Any costs incurred up to the point of cancellation will remain payable by the client.

8.1 Payment Terms
  • An initial estimate will be made free of charge.
  • In order to confirm the project, the client must:
    • Sign and return the project estimate along with the project-specific Terms & Conditions.
    • Transfer a 50% deposit of the total estimate to Atumatic Studios S.L., payable immediately.
  • Only once both conditions are met is the project considered confirmed and work may commence.
  • A further 40% of the total estimate is payable immediately and must be received no later than one (1) week before the first shooting day.
  • Any additional costs or changes after this must be approved by the client and are payable immediately upon approval.
  • Upon wrap, Atumatic Studios S.L. will provide the final actuals showing all incurred costs and will either refund any remaining balance or issue an invoice for additional expenses. The remaining 10% will be calculated based on these final actuals, including any approved changes, returns, or overtime, and presented as a final balance.
  • Any refund due to the client will be processed, or any final balance invoiced will be payable, within fourteen (14) days of the client’s receipt of the final actuals. Upon receipt of the final payment, the rights to the deliverables and/or rushes will transfer to the client.
  • All payments must be made in Euros (EUR). Any bank transfer fees, currency conversion costs, or other related charges are the responsibility of the client.
  • Any delays of the above may incur additional fees and/or cancellation.
  • Clients are legally obligated to clear all invoiced amounts related to the project.
  • If Atumatic Studios S.L. is required to do any additional work after the final invoice has been sent, this will be considered an additional cost and will be invoiced for separately.

8.2 VAT, Contingency & Company Markup
  • Spanish clients: All invoices issued to clients established in Spain will include Spanish VAT (IVA) at the applicable rate. Any refund of contingency will be adjusted for VAT as required by Spanish tax law.
  • EU Business Clients (B2B with valid VAT number): Invoices are issued under the EU reverse charge mechanism (Art. 196 EU VAT Directive). Spanish VAT is not applied. The client is responsible for reporting and paying any applicable VAT in their own country.
  • EU Private Clients: Spanish VAT (IVA) at the applicable rate will be applied to invoices issued to private individuals in the EU.
  • Non-EU Clients: Invoices issued to clients outside the EU are not subject to Spanish VAT (Art. 69 Ley del IVA). The client is responsible for any taxes or duties applicable in their own jurisdiction.

        Contingency
  • A contingency amount (typically 5% of estimated project costs) may be included in project estimates to cover unforeseen expenses.
  • Unused contingency will be refunded to the client at the conclusion of the project.
  • Contingency is not considered profit; refunds will be processed and any VAT adjustment carried out in accordance with applicable tax law.

        Extra Costs Beyond Contingency
  • If actual project costs exceed the allocated contingency (e.g. overtime, additional services, or unforeseen supplier expenses), such costs are subject to the client’s approval, will be invoiced to and paid by the client at actual cost, and will be included in the final actual project costs on which the agreed company markup is calculated.

        Company Markup
  • A company markup is applied to total project costs (including contingency and any extra costs) to cover overhead, risk, and profit:
    • Production Services: 15% of total project costs
    • Full Production Projects: 25% of total project costs
  • The company markup is applied as a percentage of the final actual project costs. If final costs are lower than estimated, the markup will be reduced accordingly; if final costs are higher, the markup will increase proportionally, maintaining the agreed percentage margin.

        Client Acknowledgement
  • By signing an estimate and/or project-specific Terms and Conditions, the client acknowledges and agrees to:
    • Their responsibility for applicable VAT/taxes;
    • To receive from Atumatic Studios S.L., where applicable, a refund of any unused funds or contingency.
    • That any costs exceeding the agreed contingency are subject to the client’s approval and, once approved, are payable by the client.
    • That the company markup will be applied by Atumatic Studios S.L. in accordance with the agreed pricing structure and calculated on the final actual project costs.

9.1 Intellectual Property Rights for Atumatic Studios S.L. Productions 
  • Upon receipt of full and final payment, ownership and usage rights to the agreed Deliverables shall be transferred to the Client. Where such rights are limited to a specific timeframe, territory, or platform due to, for example, talent or musical rights, any request by the Client to extend or modify the usage of these rights must be notified to Atumatic Studios S.L. in writing in a timely manner and may be subject to additional fees.
  • All raw footage, source files, and working or intermediate materials (“Rushes”) shall remain the exclusive property of Atumatic Studios S.L. unless otherwise agreed in writing. 
  • Atumatic Studios S.L. shall retain an archival backup copy of all Rushes for internal records, legal, insurance, and technical purposes. 
  • Atumatic Studios S.L. reserves the right to use the final Deliverables for its own promotional and portfolio purposes, unless otherwise agreed in writing. 
  • Atumatic Studios S.L. shall not use, exploit, or create any additional works from the Rushes beyond the agreed final Deliverables unless explicitly agreed in writing with the Client.

9.2 Intellectual Property Rights for Production Services
  • When Atumatic Studios S.L. is engaged solely to provide production services, all raw footage, source files, project files, and any intermediate or working materials generated in the course of providing such services (“Rushes”) shall remain the exclusive property of Atumatic Studios S.L. until full and final payment has been received.
  • Clients may receive copies of the Rushes prior to final payment solely for the purpose of commencing post-production; however, ownership and all rights in the Rushes shall remain the property of Atumatic Studios S.L. until full and final payment has been received.
  • Upon receipt of full payment, the Client shall acquire ownership and usage rights to all raw footage, source files, and working or intermediate materials (“Rushes”). Notwithstanding the foregoing, Atumatic Studios S.L. shall generally retain an archival backup copy of all Rushes for internal records, legal, insurance, and technical purposes, except in cases where retention is prohibited due to confidentiality, company secrecy, or specific client requirements, in which case no archival copy will be kept.
  • Where the use of the final films is limited in duration, territory, or platform due to talent, music, or other third-party rights, any continued or extended use of the final films beyond the agreed period, territory, or platform must be notified to Atumatic Studios S.L. in writing in a timely manner and may be subject to additional fees and third-party costs.

  • Client must secure rights or licences for talent or materials that they provide.

10. Confidentiality and Data Protection
  • When code names are used to conceal the identities of the project, client, artist, or product, this must be followed by anyone involved in the production at all times.
  • We prioritise security as defined by the brand or client and will ensure our entire crew, talent, and providers uphold it.
  • All people involved in the production must treat all project related information as confidential and all personal data must be handled in compliance with EU General Data Protection Regulation. Any breach in confidentiality may result in legal action, termination and / or additional costs. 
  • Clients must ensure third-party materials comply with data protection laws.

11. Liability, Indemnity, Force Majeure and External Risks
  • Atumatic Studios S.L. is not liable for delays, loss or damage resulting from events beyond our control, including but not limited to weather, natural disasters, strikes, civil unrest, war or other force majeure events.  Any additional costs arising from such events—such as  rescheduling, extra days or logistical adjustments—will be invoiced to the client.
  • Clients are responsible for their own crew, talent, equipment, materials, and products.
  • Clients agree that should any claims, damages or losses be incurred arising from their actions, omissions, or failure to comply with these guidelines, that Atumatic Studios S.L. cannot be held responsible.
  • Clients will be informed of local and national holidays, as well as special events, that could affect the production. 

12. Governing Law and Jurisdiction
  • Any disputes will first be addressed through good-faith negotiation between the parties.
  • Disputes are subject to the exclusive jurisdiction of Spanish courts.

13. Termination
  • By the Client: Written notice is required; they must pay for all services and non-recoverable expenses up to the termination date.
  • By Atumatic Studios S.L.: Due to non-payment, any legal or safety violations, actions compromising the project or inappropriate or unprofessional behaviour.  Outstanding costs incurred up to termination remain payable.
  • Termination does not affect confidentiality or intellectual property obligations.

14. Amendments and Modifications
  • All changes must be communicated in writing.
  • Additional work undertaken or modifications made after the quote is approved will incur added costs and / or revised timelines.
